DALLAS ISD's OBLIGATIONS

A. 7. The DALLAS ISD Superintendent or designee shall review and approve or deny the DEF's annual strategic plan, based on DALLAS ISD's needs as articulated in the DALLAS ISD strategic initiatives and the Superintendent's projects. Through the Director, the DEF shall be allowed access to the Superintendent of Schools or designee to ensure that the fund-raising goals of the DEF are aligned with DALLAS ISD's objectives and, for the benefit of DEF donors and grantors, and that DALLAS ISD employees are executing programs for which DEF funds were given. Should the Director have concerns about proper execution of any program, the Director shall address those concerns with the Director's immediate supervisor, as the Director has no supervisory authority over any DALLAS ISD employee except the Director's staff.

DALLAS EDUCATION FOUNDATION'S (DEF) OBLIGATIONS

B. DEF Obligations Related to Dallas ISD: The DEF agrees to the following duties and obligations to the DALLAS lSD:

The DEF shall present an annual written strategic plan that accurately represents the direction and priorities of DALLAS lSD to donor prospects and aligns DEF’s fund-raising programs and campaigns consistent with the strategic objectives of DALLAS lSD. The DEF’s strategic plan shall reflect the DEF’s annual goals and plans for obtaining those goals as well as any additional information that DALLAS lSD may request. DEF agrees that each strategic plan shall contain fund-raising goals for each year that are sufficient to exceed DALLAS lSD support, as detailed in paragraph II.A, Sections 3, 4, and 5 herein.

4. The DEF agrees that, during the term of this Memorandum of Understanding, the DEF will require that its personnel follow all policies and procedures of DALLAS lSD, including but not limited to, whistleblower, document retention and destruction, antiharassment, public information, employee conduct, and conflict of interest rules when representing the DEF or DALLAS lSD in any capacity.

11. The DEF Director and the DEF Board of Directors accept fiduciary responsibility for the operation of the DEF, the collection of donations, the investment of funds, and the authorization of the expenditures of funds of the DEF. The DEF acknowledges it has no authority to expend DALLAS ISD funds for any reason.

12. The DEF shall consult with DALLAS ISD before accepting any gift for the benefit of DALLAS ISD that contains restrictive terms or conditions. To the extent such gifts are approved by DALLAS ISD, the Parties agree that the DEF shall monitor, in conjunction with DALLAS ISD, through appropriate means, compliance with such terms and conditions. Any concerns related to compliance shall be addressed to the Director’s immediate supervisor, as the Director has no supervisory authority over any other DALLAS ISD employee, except his or her administrative assistant, if applicable.

CONTROLS

A. 5. The DEF, its Board members, volunteers, and all DALLAS ISD employees assigned to DEF shall abide by all policies and procedures of the DALLAS ISD related to facility and equipment use, personnel, public information, and all other applicable policies.
